About the Role
The Contracts Specialist will report to our General Counsel, work closely with our Senior Contracts Specialist and collaborate with cross-functional teams including sales and finance. In this role, you will play a crucial role in mitigating risk, ensuring compliance and supporting business objectives by managing the lifecycle of contracts within our organization.
Responsibilities
- Review, revise and negotiate agreements/contracts, including Software-as-a-Service agreements (“SaaS”), professional service agreements, procurement and vendor agreements, statements of work, non-disclosure agreements, policy agreements (privacy, data security, business associate agreements), etc.
- Manage contracts efficiently and thoughtfully from start to finish with consistent communication at every stage
- Negotiate contract disputes with third parties efficiently
- Manage other documents and agreements requiring review, approval and use throughout Keeper
- Prepare contract summaries to disseminate contractual obligations to the proper departments following the signing of an agreement and/or amendment
- Collaborate with the finance department in ensuring integration of contractual obligations for the purposes of proper and efficient billing
- Work closely and efficiently with sales to support business needs, staying ahead of deadlines
- Maintain and manage contract tracking system to ensure contract compliance
- Manage the contract signature process and assist in the maintenance of internal document filing system
- 1+ years of contract management experience is required, including demonstrated experience performing in a lead issue spotting, negotiation and drafting capacity
- Familiarity with DocuSign, Salesforce experience preferred
- Outstanding communication skills (both verbal and written) and interpersonal skills to support positive and growth-oriented professional relationships
- Strong writing and redlining skills
- Ability to meet SLA’s and high-volume activity
- Ability to determine priorities, goals and objectives of work functions assigned
- Attention to detail and ability to quickly identify errors or issues to resolve
- Ability to work independently and collaboratively in a fast-paced and dynamic environment
- Experience with contract management systems
- Bachelor’s degree in business or related degree and pursuing a J.D.
Preferred
- Experience managing contracts for SaaS companies
- Active paralegal certification or equivalent experience
